User Agreement


The following contains the terms and conditions on which we offer our services.

Welcome to the Autospyder.com User Agreement (the "Agreement" or "Terms and Conditions").  By using Autospyder.com (the "site") or any of our sub-domains, you agree that you have read this Agreement, that you understand it, and that you agree to be bound by the terms and conditions herein.  If you do not agree to the conditions below, please do not use our site.

  1. Definitions
    The terms "we", "us", and "the site" represent Autospyder.com and it's employees, including all web pages within the Autospyder.com domain.
  2. Acceptance
    By using the services provided by Autospyder.com, you agree, without limitation or qualification, to be bound by, and to comply with, these Terms and Conditions and any other posted guidelines on Autospyder.com. All such guidelines and rules are hereby incorporated by reference into the Terms and Conditions.
  3. Eligibility
    Our services are available only to, and may only be used by individuals who can form legally binding contracts under applicable United States law.   4. User Conduct
    Upon registration, you are responsible for maintaining the confidentiality of your user name and password, and are fully responsible for all activities that occur under your user name. You agree to (a) immediately notify us of any unauthorized use of your account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. Autospyder.com will not be liable for any loss or damage arising from your failure to comply with this requirement.

    You acknowledge and agree that all information, data, text, photographs, pictures, graphics, messages, files, blog entries, videos, or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that you, and not Autospyder.com, are entirely responsible for all Content that you upload, post, email, or otherwise transmit. The site does not control the user Content posted via our services, and does not guarantee the accuracy, integrity, or quality of such user Content.     We also reserve the right to terminate your use of the Service.  Should your use of the Site be suspended by Autospyder.com, you may not continue to use the Service, either though the same account or by the creation of a new account.
  6. License to User Content
    With respect to any Content posted by or in connection with our services, you grant Autospyder.com a world-wide, royalty free, perpetual, license to use, copy, transmit, publicly display, and create compilations including, create derivative works of, and distribute such Content to publish and promote our Services. Such license shall apply with respect to any form, media, or technology.
  7. Indemnity
    You agree to indemnify and hold us, our affiliates, and our employees harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.
  8. Disclaimer of Warranty
    Autospyder.com and its employees and affiliates, are not responsible and have no liability for the accuracy, content, completeness, legality, reliability, or operability of Content displayed on the Service. Autospyder.com is not responsible and has no liability for your conduct and for the conduct of others using the Service.

    THE SERVICE, AND ALL CONTENT, AND INFORMATION (INCLUDING BUT NOT LIMITED TO ANY INFORMATION OR CONTENT OBTAINED OR ACCESSED THROUGH THE SERVICE) ARE PROVIDED "AS IS." AUTOSPYDER.COM EXPRESSLY DISCLAIMS TO THE FULLEST EXTENT PERMITTED BY LAW ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, CONDITIONS AND OTHER TERMS.
  9. Limitation of Liability
    UNDER NO CIRCUMSTANCES WILL AUTOSPYDER.COM BE LIABLE FOR ANY: ECONOMIC LOSSES (INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUES, PROFITS, CONTRACTS, BUSINESS OR ANTICIPATED SAVINGS); ANY LOSS OF GOODWILL OR REPUTATION; OR ANY SPECIAL, INDIRECT OR CONSEQUENTIAL LOSSES, SUFFERED OR INCURRED OR ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THIS AGREEMENT, WHETHER OR NOT SUCH LOSSES WERE WITHIN THE CONTEMPLATION OF THE PARTIES AT ANY TIME.

    THE LIMITATIONS OF LIABILITY IN THIS CLAUSE (AND ELSEWHERE IN THE TERMS OF USE) SHALL APPLY TO ALL LOSSES AND DAMAGE INCLUDING WHETHER THE LOSS OR DAMAGE ARISES FROM USE OR MISUSE OF AND RELIANCE ON THE SERVICE, FROM INABILITY TO USE THE SERVICE, OR FROM THE INTERRUPTION, SUSPENSION OR TERMINATION OF THE SERVICE (INCLUDING SUCH LOSSES OR DAMAGE INCURRED BY THIRD PARTIES).
  10. Legal Compliance
    You shall comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of our service and your purchase of, listing, purchase, or solicitation of offers to purchase, and sale of items.
  11. Intellectual Property
    Except as expressly provided, nothing on the Site shall be construed as conferring any license under any of Autospyder.com's intellectual property rights. You agree not to adapt, translate, modify, decompile, disassemble, or reverse engineer the Services or any software or programs used in connection with Autospyder.com.
  12. Agreement Modifications
